NautaDutilh acted as Dutch and Belgian legal counsel (including lead due diligence counsel) to ALD and its majority shareholder Société Générale.
- NautaDutilh assisted longstanding client a.s.r. on the business combination of a.s.r. and Aegon Nederland, reinforcing a.s.r. as leading insurer in the Netherlands. The combination strengthens a.s.r.'s leadership positions in profitable and growing market segments.
- NautaDutilh assisted NewAmsterdam Pharma, a late clinical-stage company, on its de-SPAC transaction and business combination with Frazier Lifesciences Acquistion Corp, as a result of which NewAmsterdam Pharma has become a publicly listed company on Nasdaq.
- NautaDutilh assisted Bluestar Alliance (BSA) with the acquisition of the Scotch & Soda fashion brand and other assets out of bankruptcy. BSA, a New York-based brand management company, negotiated and agreed an asset deal with Scotch & Soda's bankruptcy trustees. The acquisition by Bluestar Alliance will allow for the continuation of the iconic brand and its products across key markets.
- NautaDutilh assisted entrepreneurial asset financier NIBC on the sale of its equity investment activities to CommonWealth Investments. The transaction comprises NIBC’s equity investment activities, being a portfolio of minority investments in Dutch companies operating in various industrial sectors, such as the semiconductor-, software- and digital services industry, under the management of the highly experienced NIBC Investment Partners team.
- NautaDutilh has advised the State of the Netherlands on its envisaged EUR 500 million investment in regional grid operator Stedin. The envisaged capital injection is in response to Stedin's request for equity and will enable the company to continue to invest in a future-proof grid, necessary to facilitate the energy transition.
