Our multidisciplinary Corporate Governance team comprises specialists in corporate law, financial law, notarial law, criminal law, ESG and accounting law.
Our thought leaders are actively involved in the development of new legislation on corporate law and corporate governance, including the update of the Dutch Corporate Governance Code and through membership of the Company Law Committee and the former Banking Monitoring Committee.

The activities of our team includes the following:
- advising on governance structures including the design and distribution of control, decision-making processes, trade-offs in strategic choices and liability issues;
- assisting and advising on the suitability assessment of new managing directors and supervisory directors by regulators, as well as on the process of self-evaluation of the management board and supervisory board;
- advising on complex decision-making processes in major corporate events such as acquisitions and restructurings;
- advising on accounting law and reporting requirements, including on ESG;
- drafting corporate governance documentation such as articles of association, shareholder agreements, regulations, codes of conduct and policy documents (e.g. whistleblower schemes and diversity policy), family constitutions and succession arrangements;
- supporting compliance and corporate housekeeping;
- advising on stakeholder dialogue and the role of participation or advisory bodies such as works councils.
