Bill implementing Takeover Directive now before Dutch Parliament
On 23 December 2005, a bill to implement Directive 2004/25/EC of 21 April 2004 on takeover bids (the "Thirteenth Directive") was put before the Tweede Kamer, the lower chamber of the Dutch parliament. The bill contains provisions on, inter alia, mandatory takeover bids following the acquisition of dominant control of a company, and the removal/suspension of defensive measures.
