On 11 June 2008, new capital maintenance rules for Dutch public limited liability companies (naamloze vennootschappen or NVs) entered into effect. The relevant legislation amends Book 2 of the Dutch Civil Code and implements European Directive 2006/68/EC amending the Second Company Law Directive. The new rules introduce more flexibility on three important aspects of the capital maintenance requirements for NVs.
