NautaDutilh advises MCAA on business combination with FC Barcelona’s content creation platform
On 11 August 2023, Mountain & Co. I Acquisition Corp. (MCAA) and FC Barcelona entered into a definitive agreement to bring the football club's content creation platform, Barça Media, to the U.S. and other global financial markets via a newly formed Dutch company. The transaction values the combined company at a pro-forma enterprise value of approximately USS 1 billion.
NautaDutilh worked alongside Sullivan & Cromwell LLP to assist MCAA in the business combination agreement, focusing on the Dutch corporate law aspects of the transaction, and shall continue to do so until closing of the transaction. FC Barcelona is one of the world’s most visible and valuable sports franchises. Barça Media centralises the creation, production and commercialisation of FC Barcelona’s audiovisual, digital and esports output. It is a high-growth business with audio-visual and digital divisions that produce dynamic content to engage, reward and build connections with FC Barcelona’s global fanbase.
The team was led by partner Paul van der Bijl and included Marloes van der Laan and Leanne Meurs.
