NautaDutilh assisted the French investment fund Fonds Européen des Matériaux in connection with its EUR 1,000,000 investment project in the share capital of iSTAR MEDICAL SA, a Belgian company developing and commercializing devices in the field of ophthalmology.
Elke Janssens and Michael Zadworny provided assistance with (i) the review and the discussions regarding the shareholders' and subscription agreement, the articles of association and the terms and conditions of the anti-dilution warrants and (ii) verifying that the client's policies and practices as an investor authorized by the Autorité des Marchés Financiers in France, are well transposed in an equivalent manner within the legal framework of the transaction (anti-money laundering, reinforced information right, liquidity requirements, etc.).
The transaction has been closed end March 2016.
