NautaDutilh assists JPMorgan, Goldman Sachs and BMO Capital Markets in respect of the financing of the acquisition by Darling International of the Vion Ingredients Division from Vion Food Group.
Darling International is the largest U.S. recycler of meat-production byproducts and restaurant cooking oils. It has acquired a similar business from the Dutch Vion Food Group for about 1.6 billion euros. Vion Ingredients makes products for pharmaceuticals, food, cosmetics and energy on the basis of slaughterhouse byproducts such as gelatin, fats and proteins.
NautaDutilh assisted JPMorgan and the other lenders on Netherlands and Belgian law aspects in respect of the financing of the acquisition. Simpson Thacher & Bartlett LLP acted as lead legal counsel of JPMorgan c.s.
