NautaDutilh assists Inflexion on the acquisition of enviolo
On 9 February 2022, Inflexion announced it has signed a definitive agreement to acquire a USD 250 million majority investment in enviolo Inc. ("enviolo"), a global leader in the e-bike components market. NautaDutilh, together with Latham & Watkins, acted as legal advisor to Inflexion in this transaction.
Amsterdam headquartered enviolo designs and develops transmission systems for high-quality e-bikes mainly for the European and North American markets. The company’s proprietary technology enables cyclists to intuitively adjust the gear ratio, making riding safer and more enjoyable. enviolo has grown rapidly as the market for e-bikes has developed strongly in the past few years. The business benefits from an innovative, IP-rich product portfolio which it provides to leading global and regional bike brands.
The NautaDutilh team was lead by Joost den Engelsman and Olaf Baks and further included Jules van de Winckel, Naomi Asscheman, Florine Kuiperi, Edward Rijnhout and Sjuul Jentjens. In this transaction NautaDutilh worked closely together with Latham & Watkins, whose team was led by Thomas Forschbach.
"Congratulations to our client Inflexion on their acquisition of enviolo! This transaction yet again showcases the opportunities for innovative businesses in the global transition towards smart and sustainable urban mobility. We were happy to be able to contribute to this development together with the Latham & Watkins team," says lead partner Joost den Engelsman.
The transaction is subject to customary regulatory clearances and is expected to close by the end of March 2022.
