NautaDutilh Avocats Luxembourg advised Bilfinger Berger Global Infrastructure SICAV S.A. on its £212m IPO
NautaDutilh advised Bilfinger Berger Global Infrastructure SICAV S.A. (the Fund), a Luxembourg incorporated société d' investissement à capital variable, on its regulatory set-up and the successful £212 million initial public offering on the main market of the London Stock Exchange.
It is the first ever Luxembourg SICAV to be admitted to the Official List of the UK Listing Authority as a closed-ended fund and is one of the first SICAVs approved under the Prospectus Directive regime by the Luxembourg supervisory authority and passported to the UK.
The Fund plans to acquire up to 19 seed infrastructure projects across a wide range of sectors and countries.
The joint sponsors and bookrunners to the placing and offer for subscription are RBS Hoare Govett (also global co-ordinator) and Oriel Securities.
NautaDutilh has worked on the Fund's side as to Luxembourg law aspects whereas Hogan Lovells advised the Fund with respect to UK law. The placing banks have been advised by Freshfields.
