NautaDutilh’s response to the consultation on cross-border conversions
The Ministry of Security and Justice has held an Internet consultation on the preliminary draft of a bill to govern cross-border conversions of companies with share capital. In a response, Paul van der Bijl, Wijnand Bossenbroek, Robrecht Timmermans and Marianne de Waard-Preller have made comments and suggestions regarding the bill.
The preliminary draft of the bill provides new regulations for effecting cross-border transfers and conversions of companies with share capital. Apart from addressing the technical shortcomings of the preliminary draft, Paul, Wijnand, Robrecht and Marianne have made the general comment that it is too restrictive and does not offer the possibilities that the final legislative proposal should offer in view of the series of rulings made by the European Court of Justice with regard to freedom of establishment (Sevic, Cartesio and Vale).
