The new Code on Companies and Associations (BCCA) will be applicable from the new year, 1 January 2020.

For some companies it is time to update the corporate forms on the letterhead, e-mails, website information, and other communications sent by the company, regardless of whether they have adapted their articles of association to the new code.

This is applicable to the following companies.
 

  • The limited partnership incorporated as société simple en commandite/gewone commanditaire vennootschap has to change the name of its corporate form in société en commandite/commanditaire vennootschap. The abbreviation of SCS and Comm.V is to be replaced by SComm and CommV.
  • The limited-liability company incorporated as société privée à responsabilité limitée/besloten vennootschap met beperkte aansprakelijkheid has to change into société à responsabilité limitée/besloten vennootschap. The abbreviation of SPRL and BVBA has to be replaced by SRL and BV.
  • The cooperative company with limited liability incorporated as société coopérative à responsabilité limitée/coöperatieve vennootschap met beperkte aansprakelijkheid must change into société coopérative/coöperatieve vennootschap. The abbreviation of SCRL and CVBA must be replaced by SC and CV
     

However the draft law, which was proposed to correct some errors in the BCCA, and is currently discussed in Parliament, provides that only the cooperatives with a corporate purpose to offer services or products to its shareholders or interested third parties, or to develop their social and economic activities, as the case may be through a participation in one or more companies, must change their corporate form.
