On 21 February 2022, the Corporate Governance Code Monitoring Committee (Committee) submitted for consultation a proposal to update the Dutch Corporate Governance Code (Code). The consultation document provides for updating of the Code in areas such as long-term value creation, diversity and the role of shareholders. It also contains proposals to amend provisions of the Code due to changes in Book 2 of the Dutch Civil Code, such as the introduction of a statutory cooling-off period and statutory rules on the remuneration policy and report.
