NautaDutilh advised ING, Rabobank, Barclays, ABN Amro, BNP Paribas, HSBC and Credit Suisse on Fugro's EUR 197.1 million Rights Issue which successfully closed on 14 December 2020. In addition Fugro entered into a EUR 53.3 million private placement with several cornerstone investors. The Rights Issue and cornerstone placement are part of Fugro's comprehensive refinancing of its existing EUR 575 million revolving credit facility.
This was a complex transaction with multiple parties with different interests. This is the first large Rights Issue in the Netherlands since the Rights Issue of Delta Lloyd in 2016 (on which NautaDutilh also advised). This is the second time in 2020 NautaDutilh has advised on Fugro's refinancing as the team assisted the underwriters in connection with the EUR 82 million offering of new depositary receipts in February.
