Deal or Case news
On 6 January 2022, France-based ALD Automotive entered into a memorandum of understanding for the acquisition of Netherlands-based LeasePlan from a consortium led by TDR capital for a total consideration of EUR 4.9 billion.

NautaDutilh acted as Dutch and Belgian legal counsel (including lead due diligence counsel) to ALD and its majority shareholder Société Générale.

The combination into NewALD would create a leading global mobility player, strongly positioned to lead the digital transformation of the industry and capture mobility sector growth. ALD manages approx. 1.7 million vehicles, while LeasePlan’s fleet consists of approx. 1.8 million vehicles. The transaction is expected to be highly synergetic and provide significant value creation. The transaction is subject to customary conditions, including works council consultation in the Netherlands and regulatory and antitrust approvals. Closing is expected to occur by end of 2022.

The team was led by Stefan Wissing and Willianne van Zandwijk and included Jos Somers, Sophie Umans and Dineth de Graaf (Corporate M&A), Jasha Sprecher and Alex Draaisma (Financial Regulatory), Arjan Koorevaar (Employment), Joris Willems and Cyril Christiaans (Commercial Contracts / IT) and Aira Scheijvens (Notarial) as well as numerous colleagues across NautaDutilh’s Dutch and Belgian offices for the due diligence.

An exciting future lies ahead for NewALD, operating on the forefront of sustainable mobility solutions, transition towards electric vehicles and digital transformation of the industry”, says Stefan.

“Completing the global due diligence on a short time frame despite the high workload throughout the firm, took a real team effort. I am proud of how everyone contributed to completing the work within the available time”, adds Willianne.
