NautaDutilh advised global alternative asset manager Apollo on its EUR 3 billion investment in Bayer's Long-Acting Reversible Contraceptives (LARC) business. NautaDutilh acted as Dutch counsel to Apollo along-side Latham & Watkins LLP and Paul, Weiss, Rifkind, Wharton & Garrison LLP. Apollo acquired a non-controlling stake in a newly established Dutch entity, holding the LARC business. Bayer retains a controlling stake in the entity and will continue to exercise operational control.

The transaction reflects the core purpose of Apollo's High Grade Capital Solutions platform, providing large, flexible and bespoke capital to blue-chip corporations.

The transaction is expected to close in the third quarter of this year, subject to approval by antitrust authorities and customary closing conditions.
