On 10 June 2020, Netherlands-based Just Eat N.V. and US-based Grubhub Inc. entered into a merger agreement providing for the combination of their businesses. The combination leads to the creation of the world's largest online food delivery company outside of China.

The transaction is structured as a merger, with Grubhub shareholders receiving (American Depositary Receipts (ADRs) representing) Just Eat shares in exchange for their Grubhub shares. The ADRs will be listed in the US. The merger consideration implies an equity value of approximately USD 7.3 billion. The transaction is subject to the satisfaction of customary closing conditions.
