The transaction values the combined company at a pro-forma enterprise value of approximately USS 1 billion. NautaDutilh worked alongside Sullivan & Cromwell LLP to assist MCAA in the business combination agreement, focusing on the Dutch corporate law aspects of the transaction, and shall continue to do so until closing of the transaction.
