NautaDutilh acted as Dutch counsel to STMicroelectronics on the issuance of USD 1.5 billion senior unsecured bonds convertible into ordinary shares. The convertible bonds will be issued in two tranches with a maturity of 5 years and 7 years, respectively. The proceeds will be used by STMicroelectronics for general corporate purposes, including the early redemption of the outstanding USD 750 million Zero Coupon Convertible Bonds due 2027.

This transaction marks another milestone in our long-standing relationship with the company and underscores the depth of our expertise in complex equity-linked transactions. It was great to work on this innovative and fast-paced project with the STMicroelectronics team, which we have come to know so well over the past years.
