In-depth expertise in fields such as capital markets, mergers & acquisitions, lending, structured finance, financial litigation, fraud and white-collar crime, market abuse and financial supervision and regulation.

In recent years, banks, pension funds and insurance companies have had to cope with issues such as stricter capital requirements and codes of behaviour, and often with complex international disputes. New European regulations are having far-reaching consequences. The trust of the general public must be restored.

NautaDutilh advises a large number of clients in the financial services sector, including banks, pension funds, insurance companies, private equity houses and hedge funds. We have in-depth expertise in fields such as capital markets, mergers & acquisitions, lending, structured finance, financial litigation, fraud and white-collar crime, market abuse and financial supervision and regulation. We provide advice on derivatives, financial services and regulation to almost all national or international banks, financial institutions and regulatory bodies with interests in the Netherlands. NautaDutilh’s Corporate / M&A group also has a strong presence in advising financial services organisations.

  • A large financing and litigation practice

At NautaDutilh we’re proud to field the largest team in the Netherlands specialised in acquisition finance, structured finance and general banking finance. We provide advice on complex, one-off financing arrangements and apply this knowledge to mainstream financing. We are also involved in banking and financial litigation, in arbitration, and in specialised alternative dispute-resolution bodies. These cases range from loan enforcement proceedings, the alleging of misleading or deceptive marketing of financial products to duty of care claims and prospectus liability, and from auditor’s liability and regulatory enforcement procedures to internal investigations in which financial regulators are involved.

  • Highlighted work

Since NautaDutilh was founded in 1724, it has played a key role in numerous landmark transactions, going back to the financing of the building of Washington DC in 1795. One of our more recent cross-border transactions was the provision of advice to ING on the restructuring of the deal between ING and the Netherlands government which transferred the credit risk on a portfolio of U.S. mortgage bonds to the Dutch State. Our team were involved in cross-border litigation regarding the Madoff fraud and the Fortis 2007 rights issue. In the more recent past we have represented clients in the collective settlement of cross-border securities claims for Shell and Converium among others.

  • What others say

NautaDutilh is internationally recognised as the most important Banking & Finance law firm in the Netherlands, with unparalleled market insight. We have an acknowledged reputation for developing cutting-edge financial concepts, vast experience and expertise in advising on regulatory issues, and a prominent and pioneering litigation practice. Clients have come to depend on NautaDutilh, not only for mainstream transactions but just as much for the increasingly complicated challenges they face in today's international economic environment.
