A leading position in Securitisations
NautaDutilh has set up the first securitisation in the Netherlands and have since then maintained a position as undisputed market leader in securitisation transactions and regularly assist in many securitisation transactions such as the Dolphin, Hypenn, DRMP, Arena, Lowland, Hermes, DMPL, Dutch MBS, Ochiba, Midori, Venn, Qander and Essence transactions and many other similar transactions.
Innovative Covered Bond Programmes
NautaDutilh has in-depth-experience with Covered Bonds and set up the first covered bond programme in the Netherlands, the EUR 40,000,000,000 ABN AMRO Bank Covered Bonds Programme, and all Dutch CPT Covered Bond Programmes, including the international IFLR award winning NIBC CPTCB Programme, the Van Lanschot CPTCB Programme, the Aegon CPTCB Programme, the Achmea CPTCB Programme and the Nationale-Nederlanden Bank CPTCB Programme and also set up the Rabobank Covered Bonds Programme and the de Volksbank Covered Bond Programme.
Platforms
NautaDutilh has longstanding experience setting up and advising on securization platforms in Luxembourg and the Netherlands. After the first new mortgage fund initiative in the Netherlands we assisted in 2014, many others have followed. NautaDutilh has a comprehensive history with implementing various (investor) initiatives which enable institutional investors to directly or indirectly invest in Dutch residential mortgage loans as well as platforms providing for innovative ways of origination of Dutch mortgage loans by alternative investors, such as 'Dynamic Credit Collective', 'Elan Hypotheken', 'Venn Hypotheken', 'Iqwoon', 'Attens', 'ASR', 'Jungo' and VISTA, the mortgage lending platform initiative of Rabobank which closed in April 2018 and was very well received in the market, and some non-public or pending others. In all these projects we acted as structuring partner and drafting counsel. We are more than willing to give you more information on our experience or provide you with references.
A dedicated securitisation team
Our team consists of 10 lawyers who are specifically dedicated to advising on securitisation transactions, covered bonds transactions and all type of transactions using structured finance techniques which are more dedicated lawyers in this area than at any other law firm in the Netherlands. These include:
- The transfer of portfolio assets;
- Setting up financial transactions, mergers and demergers of entities (such as ABN AMRO Bank or SNS Bank); and
- Implementing regulation.
