Ezechiel Havrenne is a partner with NautaDutilh and head of the Luxembourg Investment Funds practice. His clients include international private equity fund managers, global real estate fund managers, credit institutions, financial groups, institutional investors, mutual fund promoters and ultra-high-net-worth individuals.
Ezechiel provides practical and in-depth regulatory and legal advice on the structuring and establishment of Luxembourg regulated and unregulated alternative investment funds (including special and common limited partnerships, reserved alternative investment funds, specialised investment funds, investment companies in risk capital and Part II funds) and UCITS. He helps clients determine the most efficient investment and management vehicles to meet their needs. Ezechiel has extensive knowledge of the fund terms required by specific types of investors and counsels on complex AIFMD and UCITS-related issues. When regulatory approval is required, Ezechiel guides his clients through the approval process with the Luxembourg financial supervisory authority (the Commission de Surveillance du Secteur Financier). During the fundraising phase, he assists with the negotiation of fund terms and side letters with investors.
Ezechiel provides assistance to fund managers throughout the investment process, including with the establishment of SPVs, co-investment and joint venture vehicles, the introduction of management incentive plans, legal and regulatory due diligence on target assets, and the drafting and negotiation of SPAs and loan arrangements.
Ezechiel is the editor-in-chief of the journal JurisNews - Investment Management and the author of Larcier's three-volume Investment Management Code. He regularly speaks at conferences and is a member of several committees established by the Association of the Luxembourg Fund Industry (ALFI). Clients describe him as "always available and very knowledgeable", adding that "he goes above and beyond what you would expect".
Prior to joining NautaDutilh, Ezechiel practiced law with a number of other reputable firms in Luxembourg and Brussels.
Ezechiel obtained his law degree from the University of Louvain (UCL) in 2004. During his studies, he participated in the Erasmus exchange programme at the Universidad Complutense de Madrid. He also holds an LL.M. from the University of Pennsylvania School of Law (2005).
Ezechiel is admitted to the Luxembourg Bar.
He is fluent in English and French and has a good command of Dutch and Spanish.
