KBC Securities and Van Lanschot Kempen Investment Banking have agreed to combine their specialist equities activities into a joint venture, creating a leading Benelux broker with expanded research coverage and enhanced liquidity for clients. The new entity will also support the investment banking activities of both firms.

Under the agreement, KBC Securities and Van Lanschot Kempen will transfer their equities businesses to the joint venture, which will encompass (i) equity research, sales, sales-trading and trading, and (ii) Equity Capital Markets (ECM) execution. The joint venture will act as the exclusive distribution channel for all ECM business for the respective clients of both firms. Both parties will continue to independently offer corporate finance services, including M&A advisory.

The joint venture will provide investors’ access to research coverage of approximately 230 stocks, with a strong focus on the Benelux region as well as European real estate and life sciences. Corporate clients will benefit from increased liquidity and broader investor coverage by combining Van Lanschot Kempen’s pan-European, US and domestic investor base with KBC Securities’ Western-European and large domestic investor base. The combination creates a scalable platform with potential for future expansion. The transaction is subject to customary closing conditions.

We are proud to have acted as joint venture counsel on this landmark transaction, bringing together two leading institutions in the Benelux market. This partnership reflects a clear commitment to long-term growth and client value, and we are pleased to have supported its successful formation.
