Groupe PSA and Fiat Chrysler reached an agreement on a merger of equals under a Dutch parent company. The combined group will be one of the four largest car-manufacturing groups in the world, with combined annual revenues of approximately €170bn, recurring operating profit of over €11bn and listings in Paris, Milan and New York.

Completion of the transaction is expected to take place in 12 – 15 months. The combination is supported by Groupe PSA's and FCA's long-term shareholders (the Peugeot family, Bpifrance and Exor), who will be represented on the board of the Dutch parent company.

Two separate NautaDutilh-teams advised the Peugeot family and Bpifrance, who are both reference shareholders of Groupe PSA, on their position in the new Dutch parent company. The NautaDutilh team assisting the Peugeot family consisted of Leo Groothuis, Stefan Wissing, Paul van der Bijl and Nina Kielman; the team assisting Bpifrance consisted of Geert Raaijmakers, Maarten Buma, Sybren de Beurs and Christiaan Roeterdink.
