Expertise
Her work ranges from contract drafting and negotiations (including general terms & conditions) to advising companies on the (ever-changing) European legislation in the field of technology and law. She also handles IT-related disputes, e.g. on issues related to (under)licensing of software, failed automation projects and breach of contract.
Next to this, Marlous has extensive experience with supporting M&A transactions that have an important IT/IP component. This includes, among other things, due diligence, asset transfer and transitional service agreements.

Work highlights
- Advised a leading global IT services provider on settling a complex dispute with a Dutch public sector client under a large automation and outsourcing tender, providing comprehensive pre-mediation advice on legal and commercial risk and negotiation strategy.
- Advised a leading global technology company on NIS 2 and CER Directive classification issues for its cloud-based renewable energy management platform, serving critical infrastructure operators and over a million EU consumers.
- Successfully assisted a major Dutch bank on reclaiming an important cloud-platform subdomain which posed impersonation, fraud and DORA-related operational risk, by devising a strategy using Dutch evidentiary access-to-data rules after standard domain dispute procedures proved unavailable.
- Advised Balderton Capital on its investment in speech-to-text innovator Reson8, a Dutch company that develops an AI driven speech recognition system tailored to European languages and specialized professional domains (e.g. healthcare) that operates entirely on EU-based infrastructure.
- Assisted an innovative Dutch company specializing in long-range VTOL drones on the conclusion of various commercial contracts, including partnerships, manufacturing and supply and general terms & conditions.
- Advised a.s.r. on the complex transitional services arrangements in relation to the sale of digital bank Knab to BAWAG, a cross-border banking transaction involving a leading Dutch digital bank.

Qualifications
Marlous is a member of the Dutch Association for Information Technology and Law (NVvIR) and the Dutch Association for AI and Robotics Law. She graduated from Leiden University in 2004 and was admitted to the Amsterdam Bar that same year. She also joined NautaDutilh in July 2004.
