Jochem Polderman
Expertise
Jochem is counsel in the Dutch Corporate and Capital Markets transaction team and is based in the New York Office. He serves as Dutch counsel to global financial institutions and corporations on US originated high value cross-border transactions.
Jochem has acted as legal counsel to both issuers and underwriters in a wide variety of equity and debt capital market transactions. He has advised listed companies, their management and their shareholders on their ongoing and incidental (disclosure) obligations pursuant to Dutch/EU corporate and securities law.
Jochem has practiced Dutch law in the Netherlands, the UK, and the US. He brings a unique cross section of expertise to clients involved in cross border matters requiring Dutch law advice.

Work highlights
Jochem acted as Dutch counsel to:
- Morgan Stanley and MUFG, as joint lead arrangers and bookrunners, for an EUR 16.2 billion bridge credit facility in support of Keurig Dr Pepper’s acquisition of JDE Peet’s.
- Triodos Bank on the listing of its Depository Receipts on Euronext Amsterdam.
- Pegasus Entrepreneurial Acquisition Company Europe B.V. (Pegasus Entrepreneurs), a SPAC (special purpose acquisition company), and its sponsors, including Tikehau Capital and Financière Agache, with its IPO on Euronext Amsterdam.
- The underwriters with the successful EUR 190 million SPAC IPO of Climate Transition Capital Acquisition I B.V. (CTCA1) on Euronext Amsterdam, alongside U.S. counsel Cravath, Swaine & Moore LLP.

Education
Jochem is a graduate of Utrecht University and Amsterdam Nyenrode Law School. Jochem successfully completed the Grotius course in Securities Law.
