NautaDutilh assisted two selling shareholders in the landmark initial public offering of Airtel Mobile Commerce N.V., a Dutch-incorporated public limited company (naamloze vennootschap) headquartered in Amsterdam. The shares were priced at £1.96 per share, giving the company an estimated market capitalisation of £5.3 billion (approximately USD 7 billion) on admission to the Main Market of the London Stock Exchange on 14 October 2026. The transaction is the largest new listing on the London Stock Exchange in five years. The offering consists of 270 million existing shares sold by selling shareholders, with a further 27 million shares potentially made available through an over-allotment option.

On this transaction, two separate NautaDutilh teams advised in parallel, each acting for a different selling shareholder. This underlines NautaDutilh's ability to serve multiple parties on the most demanding international listings.

The NautaDutilh team consisted of Jinne van Belle and Onur Danismant (Finance) and Petra Zijp, Antonia Netiv, Jochem Polderman, Lentle Nijs and Luka Hoogstraten (Capital Markets)
