NautaDutilh has successfully advised a Consortium comprising TowerBrook Capital Partners, J.C. Flowers & Co. and Embedded Finance Limited (known as Railsr) on its GBP 283 million cash offer for the entire issued share capital of Equals Group Plc (Equals), a group active in the payment sector.
NautaDutilh assisted the Consortium from a Belgian financial regulatory law perspective (including obtaining regulatory approvals from the National Bank of Belgium), alongside UK law firms Norton Rose Fulbright (counsel to the Consortium and TowerBrook Capital Partners), Macfarlanes (counsel to J.C. Flowers & Co.) and Mishcon de Reya (counsel to Railsr).
The NautaDutilh team was led by Pierre De Pauw (Local Partner) and Jennifer Esakwa Ayimona (Associate), with assistance from NautaDutilh’s corporate, employment, IP/IT, real estate, and competition teams for the due diligence aspects.
