NautaDutilh assisted ABN AMRO Bank N.V. on the sale of ABN AMRO Pensioeninstelling to Achmea through an auction process. For our team, this was the second transaction involving a premiepensioeninstelling within the timeframe of one year. 

Since 2012, ABN AMRO Pensioeninstelling has been operating defined contribution schemes on behalf of approx. 1.000 employers with roughly 190,000. Assets under management amount to €3,5bn, which originates from both SME and large corporate clients. The transaction gives Achmea an entry into the Premium Pension Institution (PPI) market. After Closing, the PPI will be renamed Centraal Beheer PPI.

The transaction is subject to approval of the regulatory authorities. The central works councils of Achmea and ABN AMRO have issued positive advice.
