NautaDutilh acted as Dutch and Belgian legal counsel (including lead due diligence counsel) to ALD and its majority shareholder Société Générale.
The combination into NewALD would create a leading global mobility player, strongly positioned to lead the digital transformation of the industry and capture mobility sector growth. ALD manages approx. 1.7 million vehicles, while LeasePlan’s fleet consists of approx. 1.8 million vehicles. The transaction is expected to be highly synergetic and provide significant value creation. The transaction is subject to customary conditions, including works council consultation in the Netherlands and regulatory and antitrust approvals. Closing is expected to occur by end of 2022.
