Over the course of this past year, NautaDutilh advised GVB on a EUR 750 million financing with BNG Bank and NWB Bank as lenders. Last week, we celebrated the successful closing that took place this summer together with principals, legal counsel, and financial advisers involved.

GVB is Amsterdam's public transport operator, providing tram, metro, bus, and ferry services to millions of passengers across the city. The financing was put in place in close cooperation with Vervoerregio Amsterdam, which is responsible for the organisation and funding of public transport in the Amsterdam metropolitan area and acts as guarantor under the facility. Van Doorne advised Vervoerregio Amsterdam and Loyens & Loeff acted as counsel to the banks, and we also worked closely together with Zanders Group as financial adviser.

The new EUR 750 million facility underlines the continued investment in Amsterdam's public transport network and supports GVB's long-term operational and infrastructure ambitions. The transaction involved a broad range of legal issues, including public law and regulatory considerations relating to sanctions and anti-money laundering requirements.

“Congratulations to GVB and all parties involved on this excellent collaboration. This transaction has been a firm-wide effort, bringing together multiple areas of expertise to address the variety of legal peculiarities.”

The NautaDutilh team was also led by Diederik Vriesendorp, and further consisted of Beike Baaijens, Bente Jansen, Saskia Heumakers, Simone Honig, Nienke Kerssies, Nosh van der Voort, Bart Vis, David Metz and Chiara Herngreen.
