NautaDutilh Avocats Luxembourg advised MidEuropa, a leading private equity investor, on its acquisition of a majority stake in Croatia’s largest optical retail chain Optika Anda, and on the related Luxembourg aspects of the transaction.

This strategic transaction strengthens MidEuropa’s position in the healthcare and retail sector. Optika Anda, founded in 1999, operates a nationwide network of 64 stores and employs over 300 professionals, offering prescription eyewear, sunglasses, contact lenses and related services. The investment will support Optika Anda’s next phase of growth through continued expansion in Croatia and targeted international development across Central and Southeast Europe.

This transaction brought together complex, multi jurisdictional corporate/M&A and financing elements within a Luxembourg holding structure. Our team ensured a seamless alignment of the various cross border workstreams and governance processes, enabling MidEuropa to progress efficiently from signing to closing.
