NautaDutilh advised longstanding client ZEH, the entity through which the Province of Zeeland and several Zeeland municipalities hold their shares, on the envisaged sale of its 70% stake in Elektriciteits- en Produktiemaatschappij Zuid-Nederland (EPZ), the owner and operator of the Borssele nuclear power plant, to the Dutch State. German energy company RWE will continue to hold the remaining 30% of the shares in EPZ.
The envisaged sale enables ZEH and its public shareholders to realise the value of their investment in Borssele while ensuring a responsible transition of ownership. For the Dutch State, this acquisition forms part of its broader nuclear energy strategy, which aims to preserve existing nuclear capacity as part of a diverse and stable energy mix. The envisaged transaction is still subject to closing conditions, including the approval of the shareholders of ZEH.
NautaDutilh advised ZEH, alongside Rabobank's energy team.
“This envisaged transaction marks a significant milestone for ZEH, with a strong outcome for the region and further underlines the Netherlands' renewed commitment to nuclear energy. This landmark deal will impact the country's energy landscape the coming years”
The NautaDutilh team further consisted of, among others, Geert Raaijmakers, Maarten Buma, Joost Kloosterman, Siebe Been, Simon Hellendall, Iris Kieft, Bart Vis, Jurriaan Bos, Nico Blom and Riemer Meinderts.
