As part of the offering, an Annex IX information document was drawn up and filed by Nyxoah in relation to the admission and listing of the newly issued shares on the regulated market of Euronext Brussels. Certain members of the board of directors of Nyxoah also participated in the offering. The offering closed on 10 June 2026.
Bank of America Securities acted as lead bookrunner. Bank Degroof Petercam SA/NV is acting as an additional bookrunner and B. Riley is acting as a co-manager for the offering.
Nyxoah intends to use the net proceeds from the offering (i) to support the expansion of its commercialisation activities in the United States, including the roll-out of its Genio system; (ii) to further finance research and development activities; (iii) to advance commercialisation of the Genio system in its initial target markets outside the United States and to continue gathering clinical data and supporting clinical research; and (iv) for other general corporate purposes, including, but not limited to, working capital, capital expenditures, investments, acquisitions and collaborations.
