On 25 June 2020 Lineage Logistics acquired Frigo, a cold storage company in ‘s-Heerenberg. Lineage is backed by financial sponsor Baygrove Capital. The transaction is the sixth acquisition since Lineage's acquisition of Partner Logistics Group (in 2016) in the Benelux assisted by NautaDutilh.

This W&I-backed transaction was funded through the European refinancing of Lineage by Goldman Sachs. The refinancing closed one day before the closing of the acquisition. NautaDutilh's corporate and finance teams worked closely together on the closing of this transaction.

The corporate team was led by Joost den Engelsman, Joost Kloosterman and Naomi Asscheman. The refinancing team was led by Marc Orval and Michelle van Doren. Esther Vochteloo and Aira Scheijvens were involved in both the acquisition and refinancing transactions as the notaries.

Lineage, a warehousing and logistics company delivering sophisticated, customized, and dependable cold chain solutions, whose European headquarters is in Bergen op Zoom, was founded in 2008 by Bay Grove Capital in San Francisco with the aim of creating a global cold storage platform through a buy and build strategy. Since its founding, Lineage has become the largest cold storage facility in the world with more than 200 cold storage facilities worldwide.

NautaDutilh worked together with a team of Rabobank M&A Advisory on the buy side.
