Our firm advised Alesta Therapeutics and its shareholders with the sale of the entire share capital of Dutch biotech company Alesta Therapeutics to BioMarin (listed on NASDAQ: BMRN), together with Goodwin Procter LLP. With a deal value of up to approx.

USD 490 million, it ranks among the largest transactions in the Dutch biotech sector in recent years. Through the acquisition, BioMarin obtains Alesta’s lead clinical-stage asset, ALE 1, adding an important clinical program to its pipeline.

ALE1 is an orally active, small molecule for the potential treatment of hypophosphatasia (HPP), a rare genetic bone disease that can affect bone and tooth mineralisation, resulting in easy or frequent bone breaks, early tooth loss, and, in adults, clinically significant muscle weakness, fatigue and pain. ALE1 has the potential to be the first oral therapy for HPP and is currently being evaluated in an ongoing clinical trial assessing.

As part of the transaction, all non-ALE 1 assets of Alesta will be spun out into a newly established entity, with Alesta’s employees transferring to the spinout entity prior to closing. Our firm will continue to advise the new spinout entity.
